公司代理守则协议书 Agent Code of Conduct Agreement


为了确保团队秩序、保障所有代理商的权益与市场价格的稳定,所有加入本公司FINZO的代理商,必须遵守以下守则。

To ensure team order and protect the rights of all agents as well as maintain stable market pricing, all agents joining FINZO must abide by the following rules.


凡签署本协议,即视为认同并愿意共同遵守以下条款。

By signing this agreement, the agent acknowledges and agrees to comply with the following terms.


不签署协议者将被取消代理资格。

Agents who do not sign this agreement will have their agent status revoked.



第一条:品牌形象维护 Section 1: Brand Image

  1. 代理商不得发布不实信息、夸大功效或贬低他人以图私利的行为。
    Agents shall not publish false information, exaggerate product effects, or slander others for personal gain.
  2. 推广产品时必须以诚信、专业、负责任的态度面对消费者及团队成员,共同维护品牌良好声誉。
    When promoting products, agents must act with integrity, professionalism, and responsibility to uphold the company’s reputation.

第二条:销售规范 Section 2: Sales Regulations

  1. 禁止假冒、代购、私自囤货倒卖等违反公司运营制度的行为;
    Counterfeiting, unauthorized sourcing, hoarding, and reselling are strictly prohibited.
  2. 所有促销、优惠活动必须事先获得公司批准,不得擅自进行。
    All promotions and discounts must be pre-approved by the company. Unauthorized activities are not allowed.

第三条:团队协作与保密义务 Section 3: Teamwork & Confidentiality

  1. 代理商须尊重上下线关系,不得抢单、挖角、破坏团队结构;
    Agents must respect the hierarchy within the team and are not allowed to poach, steal clients, or disrupt the team structure.
  2. 对于公司商业机密(如价格结构、供货渠道、培训内容等),须严格保密,不得外泄。
    All company trade secrets (such as pricing, sourcing, and training materials) must be kept confidential.

第四条:统一售价规定 Section 4: Unified Pricing Policy

  1. 所有代理商在销售公司商品时,必须严格遵守公司统一售价政策,不得擅自调低商品售价(俗称“丢价”)。
    All agents must strictly follow the company’s pricing policy and are not allowed to lower prices arbitrarily.
  2. 若代理商在任何平台(包含但不限于:社交媒体、电商平台、线下售卖等)被发现存在低于公司规定价格售卖行为,公司有权立即采取以下惩处措施:
    If any agent is found selling below the standard price (on social media, e-commerce sites, or offline), the company may enforce the following penalties:
    • 取消该代理商的代理资格;
      Immediate termination of agent status.
    • 当月奖金与业绩奖励将一律取消,不予发放;
      Forfeiture of monthly commission and performance bonuses.
    • 情节严重者,公司保留法律追究的权利。
      Legal action may be taken for serious violations.

第五条:公司奖金机制 Section 5: Bonus Mechanism

  1. 公司团队奖金将于每月月初准时发放。
    Team commissions will be paid out promptly at the beginning of each month.
  2. 代理商如欲领取当月团队奖金,必须于当月内至少自购/补货一盒产品作为激活资格。若未完成该补货条件,则视为自动放弃团队奖金,本公司将不予发放,亦不得补发。
    To qualify for monthly bonuses, the agent must replenish or purchase at least one box within the same month. Failure to meet this condition will result in forfeiture of the bonus.
